Agencia Peruana de Noticias PRENSAPERU.PE https://prensaperu.pe Twitter: @prensaperupe Tal como lo anunciara PETROPERÚ el 10 de mayo, luego de la firma del contrato con PricewaterhouseCoopers (PwC) para la auditoria de los Estados Financieros 2021 (EEFF 2021), se vienen ejecutando acciones para solicitar la extensión del plazo de presentación de los EEFF 2021 a los acreedores.
En esa línea, con relación a las gestiones efectuadas con la Agencia Española de Crédito a la Exportación (CESCE), del 17 al 19 de mayo, se realizaron reuniones de coordinación en la ciudad de Madrid, España, en las que se explicó la situación de PETROPERÚ y las estrategias que viene emprendiendo a fin de recuperar la confianza de sus stakeholders, obteniéndose la predisposición del sindicato de bancos y las entidades del Gobierno español para la aprobación de la enmienda propuesta. PETROPERÚ se encuentra a la espera de la aprobación formal de parte de las entidades correspondientes. Esta gestión se llevó a cabo a través del Deutsche Bank, agente administrativo del contrato.
Como se recuerda, en el año 2017, PETROPERÚ recibió los fondos del desembolso de crédito de largo plazo con garantía de CESCE (facilidad financiera por un monto de US$ 1,300 millones) en la que participaron un total de trece bancos internacionales.
En paralelo, PETROPERÚ inició un proceso de solicitud de consentimiento – Consent Solicitation con los tenedores de bonos. Para tal fin, desde el 05 de mayo ha venido trabajando con los bancos Citigroup, HSBC y Santander, así como con el equipo de PETROPERÚ y asesores legales externos, la preparación de los documentos requeridos. Cabe precisar que la empresa realizó emisiones de bonos en los mercados internacionales de deuda por US$ 3,000 millones.
El proceso de Consent Solicitation ha sido convocado a partir de hoy 23 de mayo y vencerá a las 5:00 p. m. del 31 de mayo de 2022, hora de la ciudad de Nueva York. Con la aprobación de la mayoría simple de los bonistas, se extendería el plazo para presentar los EEFF 2021 auditados.
Para tal fin, un equipo de PETROPERÚ desarrollará del 24 al 27 de mayo en la ciudad de Nueva York reuniones de trabajo con los tenedores de bonos, con la finalidad de exponer la situación de la empresa, informar la fecha de emisión de los EEFF 2021 y sustentar el pedido de la enmienda.
Estas acciones están enmarcadas en los términos y condiciones contractuales suscritas con los acreedores, cuyo cumplimiento contribuye con la sostenibilidad de la empresa. Asimismo, forman parte del plan de acción de la nueva Administración para recuperar la confianza del mercado, lo que hará posible seguir estabilizando de manera efectiva la situación financiera de PETROPERÚ.

PETROPERÚ manages amendments before its creditors to request the extension of the term of presentation of the Financial Statements 2021.

Along these lines, in relation to the steps taken with the Spanish Export Credit Agency (CESCE), from May 17 to 19, coordination meetings were held in the city of Madrid, Spain, in which the situation was explained of PETROPERÚ and the strategies that it has been undertaking in order to recover the trust of its stakeholders, obtaining the predisposition of the bank union and the entities of the Spanish Government for the approval of the proposed amendment. As it is recalled, in 2017, PETROPERÚ received the funds from the disbursement of long-term credit guaranteed by CESCE (financial facility for an amount of US$1,300 million) in which a total of thirteen international banks participated.
In parallel, PETROPERÚ initiated a consent solicitation process with the bondholders. To this end, since May 5, it has been working with Citigroup, HSBC and Santander banks, as well as with the PETROPERÚ team and external legal advisors, preparing the required documents. It should be noted that the company made bond issues in the international debt markets for US$ 3,000 million.
The Consent Solicitation process has been convened as of today, May 23, and will expire at 5:00 p.m. m. on May 31, 2022, New York City time. With the approval of the simple majority of the bondholders, the term to present the audited financial statements for 2021 would be extended.
To this end, a team from PETROPERÚ will hold working meetings with bondholders from May 24 to 27 in New York City, in order to present the company’s situation, inform the date of issuance of the 2021 Financial Statements and support the request for the amendment.
These actions are framed in the contractual terms and conditions signed with the creditors, compliance with which contributes to the sustainability of the company. Likewise, they are part of the action plan of the new Administration to recover the confidence of the market, which will make it possible to continue effectively stabilizing PETROPERÚ’s financial situation.
